  1. 1. About Us

    This giveaway (“Giveaway”) will be administered by Goodnotes Limited, a company incorporated under the laws of England and Wales with its registered address being 1 Bartholomew Lane, London, United Kingdom, EC2N 2AX and with the company number 12889528 (hereinafter referred to as the “Sponsor”).

  2. 2. Rewards

    1. The winner will receive one (1) Samsung Galaxy Tab S10FE. The exact model, specification, or type of Reward shall be determined by the Sponsor in its sole discretion. The Reward is not transferable and cannot be exchanged for cash or alternative forms of compensation.
    2. Sponsor is not liable for any damage or loss to the Rewards caused by any other third party. If the Rewards are damaged or fail to be delivered, we have no obligation to provide a replacement Rewards.
    3. The Sponsor will share the winner’s details with Samsung Electronics America, Inc. ("SEA") located at 105 Challenger Road, Ridgefield Park, New Jersey 07660, United States for compliance purposes, as required for the validation and fulfillment of prizes provided by SEA.

  3. 3. Eligibility

    1. By taking part you (“You”, “Participant(s)”) warrant that you are:
      1. at least eighteen (18) years of age;
      2. a legal resident of the United States; and
      3. not an employee or the immediate family member of an employee at Sponsor.

  4. 4. How to Participate

    1. To take part in the Giveaway you are required to attend the in-person campus event at your university (“Event(s)”) and scan the QR code to sign-up for the event on your mobile device. Event dates, times, and locations will be announced by the Sponsor and are subject to change at the Sponsor’s discretion.
    2. To make an entry you will need to pick one (1) ball from the machine by grabbing a ball with your hand. Winners will be determined at random based on the ball you select.
    3. Winners will be informed that they have won the Giveaway when they open the ball and there will be information inside of it which states whether you have won one of the Rewards.
    4. There is one (1) prize and there will be one (1) winner.
    5. By entering this Giveaway following the steps contained in paragraph 4.3, 4.4 and 4.5 You acknowledge and agree that if You do not meet the eligibility requirements as set forth in paragraph 3 above, Sponsor has no obligations to You under this Agreement. Entries that do not comply with these Giveaway Terms and Conditions and above criteria will be void and will not be selected for this Giveaway.
    6. This is a free-entry Giveaway, and You will not be asked to make any payment to the Sponsor.
    7. Each Participant may submit only one entry to this Giveaway. However, Participants who sign up before the event will receive an additional entry. Any entries exceeding these limits will be void and ineligible.
    8. By submitting your entry, you confirm that You have read and understood these Giveaway Terms and Conditions and agree to be bound by them.

  5. 5. Start and Close

    The Giveaways will start and will end at 4pm on the dates announced by the Sponsor. Entries received by the Sponsor after this time will be void and will not be entered into this Giveaway.

  6. 6. Taxes

    You understand that you shall be solely responsible for any and all applicable taxes, including but not limited to federal, state, local, and income taxes, associated with the receipt and/or use of any prizes awarded, whether notified to you or not. The Sponsor is not responsible for providing tax advice or assistance in this regard. It is the winner's responsibility to determine and fulfil their tax obligations in accordance with applicable laws.

  7. 7. Notification of the results and receipt of the reward

    1. The Reward will be delivered to the winner at the Event.
    2. You understand that you are fully responsible for picking up the award from the Sponsor at the Event.

  8. 8. Data Protection

    1. You understand that we are required under federal law and state law to collect the name, contact details and address of the winner. All information collected will be processed in accordance with Goodnotes’ privacy policy: https://www.goodnotes.com/privacy-policy

  9. 9. General

    1. You hereby release, forever discharge and agree to hold harmless Sponsor and all of their respective parent companies, subsidiaries, affiliates, advertising and promotional agencies and each of their officers, directors, employees, agents, shareholders, and advisors, from and against any liability for any and all claims, demands, losses and liabilities of any nature whatsoever which you may now or hereafter be entitled to assert, including but not limited to any death, injury, loss of enjoyment, property damage, or other harm or loss of any nature, any claims based on publicity rights, privacy rights, personality rights, “moral rights,” or defamation, and any and all any taxes levied, assessed or collected, whether caused by, contributed to, arising out of, or otherwise related to this Giveaway, the Reward, or your possession, acceptance, use, or misuse thereof, or my other acts or omissions in connection therewith.
    2. To the fullest extent permitted by law, we, our affiliates, suppliers, and distributors make no warranties, either expressed or implied, about the Reward. The Reward is provided "as is" without any warranties as to quality or performance.
    3. The Sponsor is not responsible for any kind of computational, technical, or other similar error in the selection process, and the Sponsor reserves the right to cancel all or part of the contest and to declare a potential winner ineligible where the Participant has failed to comply with these Giveaway Terms and Conditions.
    4. The Sponsor has the exclusive power to interpret the rules, and the Sponsor’ decisions regarding any and all matters related to the Giveaway, are final and binding.

  10. 10. Governing Law and Forum

    These Giveaway Terms and Conditions will be governed by the laws of England and Wales, and you agree that the courts of England and Wales shall (subject to the paragraph below) have exclusive jurisdiction to settle any dispute which may arise out of, under, or in connection with these Terms, promotion or the legal relationship established by them, and for those purposes irrevocably submitted to the jurisdiction of the courts of  England and Wales.

This is a legally binding Agreement between you (the “Releasing Party”) and us Goodnotes Limited and its affiliates (the “Company”, “we”, “our” or “us”). We are a company with a registered office at 1 Bartholomew Lane, London, United Kingdom, EC2N 2AX and 7th Floor, 8 Observatory Road, Tsim Sha Tsui, Kowloon, Hong Kong and its affiliates (together the “Company”).

BY ENTERING YOU AGREE TO AND ACCEPT THE FOLLOWING TERMS WHICH WILL BE BINDING ON YOU.

This Release (“Release”) relates to photographs, video footage, and any other data captured of you during a recent visit to your university campus for the purposes of creating promotional content for Goodnotes (‘The Content’).

In consideration of a Copy of the Content (the receipt of which I acknowledge) you warrant, confirm and agree with us as follows:

  1. 1. We have the irrevocable right to use, publish, reproduce, display or otherwise exploit the Content from the date of this Release, for the following purpose[s]:
    1. public display, on Company social media platforms and for marketing purposes.
    2. non-commercial publication in any media
    3. commercial publication in any media.
    4. for the purpose as specified in the Schedule.
    5. any purpose without limitation.
  2. 2. We shall have the right to edit, modify, crop, add to or subtract from the Content at our entire discretion and without my approval save that the Content will not represent me in a derogatory manner.
  3. 3. We shall have the right to use my name, likeness and any other biographical information provided by me in connection with the Content.
  4. 4. You waive any right to further payment for the use of the Content save for use beyond the purpose set out in paragraph 1 of this Release.
  5. 5. You waive any moral rights that you may have in the Content and you acknowledge that all right, title and ownership in and to the Content, including copyright, to the extent permitted by law, shall belong to us exclusively.
  6. 6. You acknowledge and agree that the Company may collect, process, and store your personal data, including contact information, for the purpose of sending marketing communications, updates, newsletters, and promotional materials following the event, in accordance with the Company’s privacy policy (See Annex 1).
  7. 7. You confirm that you are over the age of eighteen and that you have no pre-existing obligation which may restrict or limit your ability to sign this Release.
    8. This Release is irrevocable and may be transferred by us to our successors, licensees and assignees and they shall have the right to exploit the Content in any media subject to the restrictions set out in paragraph 1.
  8. 8. You confirm that you have read and understood the terms of the privacy policy (See Annex 1) and understand that privacy policy explains the ways in which we intend to process my personal data. You understand that we do not need your consent when we process your personal data for the purposes set out in that privacy policy.
  9. 9. This Release is subject to the governing law andjurisdiction of the courts of England and Wales.
